Article 12 — Indemnification

12.1 To the fullest extent provided by law, the Contractor shall not be liable for any loss or casualty incurred or caused by the Subcontractor. The Subcontractor assumes all risk of loss for all of its work , except for any loss to the extent covered by Builders' Risk insurance.

Subcontractor waives any independent right of recovery against Contractor and receipt of such compensation by Contractor from the Owner is a condition precedent to Subcontractor's right to receive same.

Starting position

Strike pay-if-paid; payment due within 30 days of Contractor's receipt of Subcontractor's invoice.

Fallback

Pay-when-paid with an outside date of 60 days, regardless of Owner payment.

No-damages-for-delay

Starting position

Delete waiver; Subcontractor preserves delay damages caused by Contractor or Owner.

Fallback

Waiver survives only for Owner-caused delay, with time extension guaranteed.

Notice of claim

Minimum 14 days from the event, written notice by email sufficient.

Fallback

7 days, provided cure period runs from actual knowledge.
